Boardroom Bound® makes every effort to create board appointment opportunities for our pre-qualified director-candidates in the for-profit marketplace. We work to raise the consciousness level of organizations to the necessity to diversify their boards and be more reflective of the communities
and populations they represent and serve.

Appointment opportunities may vary, they call for fiduciary responsibility, personal liability, and probably require a significant time commitment. The appointment may be in a small or mid-sized, little known firm or a large, prestigious, publicly held enterprise. Regardless, we will assist each candidate in evaluating their needs against the requirements of a prospective company.

Appointment opportunities will be presented to candidates pre-qualified by Boardroom Bound only, and no candidate will be obligated to accept any role or Appointment Referral presented.

Procedure
* Prospective Companies will contact the Boardroom Bound Appointments Division Director via email or by phone.
* The Company will present an overview of the firm and its vision for its board or the structure and constituency of its current board.
* The Company will provide a clear and precise description of the qualifications and attributes required of each new member of its board.
* Financial information, as to gross revenue, number of employees, size of current board, etc. will be ascertained from the Company for future reference should a placement ensue.
* Boardroom Bound Appointments Division will review the requirements of the Company and our National Candidate Database.

Appointment Matching Program
* Once a candidate is selected to interview with the company, the Boardroom Bound Appointments Division will confirm that the candidate is still available and interested in the pursuit of the opportunity.
* The Prospective Company representative or selection committee will meet with a member of the Appointments Division (or appointee) to discuss protocol for moving forward with candidate for interview and selection.
* If the candidate is not selected, the Appointments Division (or appointee) will notify the candidate.
* If candidate is selected, the Appointments Division (or appointee) will notify the candidate and the Prospective Company will prepare the appropriate paperwork to offer the appointment to the candidate.
* Boardroom Bound will extend a letter of thanks with a suggested tax-deductible contribution to Boardroom Bound.
Candidate Search Program
* If there is no qualified candidate in the Candidate Database to suit the Prospective Company requirement, the Company will be referred to one of our affiliated Preferred Search Firms.
* The Affiliated Search Firm will receive all necessary data and/or fees to begin the National or International Search.
* The Affiliate Search firm will communicate directly with the Prospective Company.
* Upon appointment, Boardroom Bound will be notified and the selected party's name will be entered into our proprietary Placement Directory.
* The Affiliate Search firm will make a voluntary tax-deductible contribution payable to Boardroom Bound from the professional fees collected for the Boardroom Bound Candidate Search.
The Boardroom Bound Appointment Referral Division uses the
services of Experienced Search Executives.
APPOINTMENTS

Boardroom Bound® has established a National Public Pipeline as an alternative pathway to corporate board service.  Post-Enron and the Sarbanes-Oxley Legislation (2002), CEO participation on external boards has decreased significantly, which translates to appointment opportunities for C-Level executives and their non-corporate counterparts. Our pathway includes an emphasis on encouraging significant ties to the diversity community and pre-training next generation business leaders how to provide quality governance.  Only Boardroom Bound has a program in place that PROSPECTS for, PREPARES and PRE-QUALIFIES director-candidates for corporate board service before our Candidate Referral Service PROMOTES them to companies for board service. We measure our SUCCESS through Pipeline Grads, Boardology™ Coaching Clients, and in/direct Board Referrals. We currently operate in Chicago, Los Angeles, New York, St. Louis, San Francisco and Washington, DC AND are expanding into additional cities. As of December 31, 2008 we have served a combination of 33 private and public companies with 35 appointments.
